Mitarbeiterbeteiligungen stellen für viele, insbesondere junge Unternehmen ein wichtiges Element zur Gewinnung und langfristiger Bindung von Fachkräften dar. Bei der unentgeltlichen oder vergünstigten Gewährung von Kapitalbeteiligungen entsteht für den Mitarbeiter häufig sog. „dry income“, d.h. es sind Steuern zu entrichten, obwohl (noch) keine Liquidität geflossen ist. Dies führt für den Mitarbeiter zum Teil zu erheblichen finanziellen Belastungen. Mit der Einführung von § 19a EStG durch das Fondsstandortgesetz im Sommer 2021 versuchte der Gesetzgeber erstmals die „dry income“-Problematik zu lösen. Nun wird § 19a EStG durch das Zukunftsfinanzierungsgesetz (ZuFinG) reformiert. Mitarbeiterbeteiligung im Überblick Bei Mitarbeiterbeteiligungen wird zwischen der (echten) gesellschaftsrechtlichen Kapitalbeteiligung und sog. virtuellen Beteiligungen auf schuldrechtlicher Basis unterschieden. (Echte) Gesellschaftsrechtliche Kapitalbeteiligung Erhält der Mitarbeiter unentgeltlich oder vergünstigt Geschäftsanteile am Unternehmen des Arbeitgebers, entsteht ein sog. geldwerter Vorteil in Höhe der Differenz zwischen dem gezahlten Erwerbspreis und dem Verkehrswert der übertragenen Beteiligung. Dieser geldwerte Vorteil stellt steuerpflichtigen Arbeitslohn dar (Einkünfte aus nichtselbständiger Arbeit gem. § 19 EStG) und unterliegt der regulären (progressiven) Einkommensbesteuerung mit bis zu 45% zzgl. Solidaritätszuschlag und evt. Kirchensteuer. Die Steuer entsteht grds. im Zeitpunkt der Anteilsübertragung, d.h. es entsteht sog. „dry income“: Der Mitarbeiter muss Steuern zahlen, ohne dass ihm Liquidität zufließt, aus der die Steuerschuld beglichen werden kann. Ihm wird häufig kein freies Vermögen in entsprechender Höhe zur Verfügung stehen, sodass die Steuer für ihn eine erhebliche finanzielle Belastung darstellt und ggf. die Aufnahme eines Darlehens erfordert.
